Information on the Proposed Acquisition of Control of Quartz Health Insurance Corporation, by Advocate Aurora Health, Inc., and Aurora Health Care, Inc.
On September 20, 2021, Advocate Aurora Health, Inc. (“AAH"), and Aurora Health Care, Inc. (“AHC" and together the “Applicants"), submitted a Form A filing requesting permission to acquire Quartz Health Insurance Corporation (“QHIC"). Included in the Form A filing, the Applicants also requested permission to acquire Quartz Health Benefit Plans Corporation (“QHBPC" and together the “Domestic Insurers"). QHIC owns all of the capital stock of QHBPC. The Applicants intends to acquire control of QHIC and QHBPC as a result of AHC becoming a stockholder of Quartz Holding Company (“QHC"), a Wisconsin Corporation that holds all of the capital stock of QHIC.
