Information on the Acquisition of Control of The General Automobile Insurance Company, Inc. by Sentry Insurance Company, Sentry Holdings, Inc., and Sentry Mutual Holding Company.
On September 4, 2026, Raina M. Zanow, Assistant Vice President, Assistant General Counsel of Sentry Insurance Company, submitted a Form A filing in the matter of the acquisition of control of The General Automobile Insurance Company, Inc. (GAIC, the “Domestic Insurer”) by Sentry Insurance Company (SIC), Sentry Holdings, Inc. (SHI), and Sentry Mutual Holding Company (SMHC, and together with SIC and SHI the “Applicants”). The Applicants propose to dividend all of the outstanding voting securities of the Domestic Insurer from Permanent General Assurance Corporation of Ohio (PGACOH) to SIC. The purpose of the proposed transaction is for internal restructuring. The Ultimate Controlling Person (UCP) will not change as a result of the proposed transaction.
