Information on the Proposed Acquisition of Control of Southern Pilot Insurance Company by Chesapeake Employers Insurance Company and Chesapeake Employers Insurance Holding Company, LLC.
On July 14, 2026, Brett A. Baulsir, transaction counsel, submitted a Form A filing, in the matter of the acquisition of control of Southern Pilot Insurance Company (Southern Pilot, the “Domestic Insurer”) by Chesapeake Employers Insurance Company (CEIC) and Chesapeake Employers Insurance Holding Company, LLC (Chesapeake Holdco, together the “Applicants”). Pursuant to a stock purchase agreement dated as of June 12, 2026, between Chesapeake Holdco and General Casualty Company of Wisconsin (GCC), all issued and outstanding shares of Southern Pilot will be sold by GCC to Chesapeake Holdco. As a result, CEIC will acquire 100% indirect ownership and control of Southern Pilot.
As required by Wisconsin law, a Public Hearing is required concerning this application for change of control.
