Information on the Acquisition of Control of Bowhead Insurance Company, Inc. by American Family Mutual Insurance Company, S.I., AmFam Holdings, Inc., and American Family Mutual Holding Company
On August 28, 2026, Maureen C. Easton, transaction counsel, submitted a Form A filing, in the matter of the acquisition of control of Bowhead Insurance Company, Inc. (Bowhead, the “Domestic Insurer") by American Family Mutual Insurance Company, S.I. (AFMICSI), AmFam Holdings, Inc. (AFHI), and American Family Mutual Holding Company (AFIMHC, together the “Applicants"). Pursuant to the agreement and plan of merger dated August 2, 2026, by and among AFMICSI, AFMICSI's 100% owned subsidiary Trident Superior, Inc. (Merger Sub), and Bowhead Specialty Holdings, Inc. (BSHI), the Merger Sub will merge with and into BSHI, with BSHI being the surviving entity. As an effect of the proposed merger, BSHI's common stock will cease to be listed on the NYSE and the company will no longer be publicly traded.
As required by Wisconsin law, a Public Hearing is required concerning this application for change of control.
