Information on the Acquisition of Control of Ambac Assurance Corporation by Brookfield US Company LLC, Brookfield US Company Holdings I, LLC, Brookfield US Capital Corporation, Brookfield US Corporate Holdings, Inc., Brookfield Corporate Treasury Ltd., Brookfield Holdings Canada, Inc., Brookfield Corporation, BAM Partners Trust, BAM Class B Partners Inc., Partners FC II Ltd., and James Bruce Flatt
On February 15, 2026, Morgan J Tilleman, transaction counsel, submitted a Form A filing in the matter of the acquisition of control of Ambac Assurance Corporation (Ambac, the “Domestic Insurer”) by Brookfield US Company LLC (BUSCL), Brookfield US Company Holdings I, LLC, Brookfield US Capital Corporation, Brookfield US Corporate Holdings, Inc., Brookfield Corporate Treasury Ltd., Brookfield Holdings Canada, Inc., Brookfield Corporation (BN), BAM Partners Trust, BAM Class B Partners Inc., Partners FC II Ltd., and James Bruce Flatt (together the “Applicants”). The purchase price of the proposed transaction is approximately $3 billion. BN and Brookfield Asset Management Ltd. (BAM) will fund approximately $1.4 billion and $1.6 billion, respectively.
As required by Wisconsin law, a Public Hearing is required concerning this application for change of control.
