Proposed Merger of Sheboygan Insurance Company with and into Atlantic States Insurance Company
A Form A dated July 29, 2019, was filed by Atlantic States Insurance Company, which related that on July 24, 2019, Atlantic States Insurance Company and Sheboygan Falls Insurance Company entered into an Agreement and Plan of Merger whereby Sheboygan Falls Insurance Company will be merged with and into Atlantic States Insurance Company. Atlantic States Insurance Company will be the surviving insurance company. Both companies are wholly owned subsidiaries of the Donegal Group, Inc., an insurance holding company under the ultimate control of Donegal Mutual Insurance Company. The reason for the merger is to simplify the holding company structure and reduce administrative expenses. There is no present plan to reduce employment at the Sheboygan Falls, Wisconsin office. The filing is subject to 611.72 (3m), Wis. Stat., which does not require a hearing for a proposed plan of merger or other plan for acquisition of control between affiliates.
