Information on the Proposed Acquisition of Control of Trilogy Health Insurance, Inc. (THI) by Independent Physicians Network, Inc. (IPN), Scas Management Group, LLC (SMG), and Bonita Louise Warner (collectively, the Applicants)

On October 22, 2013, the Applicants filed a plan to acquire control of Trilogy Health Insurance, Inc. (THI), pursuant to the terms of an Investment Agreement executed between Trilogy Health Holdings LLC (THH) (THI's parent company) and the Applicants on October 22, 2013. If the transaction is consummated, control will be acquired by the Applicants through the acquisition of membership interests in THH, in accordance with the terms and conditions set forth in the Investment Agreement.

The transaction is subject to all required regulatory approvals, including the approval of this Form A by the Commissioner of Insurance for the State of Wisconsin (the Commissioner).

As required by law, the Office of the Commissioner of Insurance (OCI) will hold a public hearing concerning this application for acquisition of control.
